Agreement for Use of Ingersoll-Rand Trademarked and Copyrighted Imagery and Content

I understand that by entering this site (with a current URL of http://imagesondemand.ingersollrand.com) (the “Site”), I will be given access to logos, images, trademarks and service marks, copyrighted imagery, and other content owned by Ingersoll-Rand and its subsidiaries and affiliates worldwide (“the Materials”). Such access is provided solely to identify Ingersoll-Rand or one of its subsidiaries or affiliates or a particular product or service sold by them in an information, truthful manner for the purpose of conveying a newsworthy message or for legitimate reporting or commentary and then only to the extent necessary to convey the intended message on the conditions set forth in this Agreement (the “Purpose”) and not for any other purpose.

As consideration for Ingersoll-Rand allowing me access to the Site and the use of the Materials, I agree to the terms and conditions set forth in this Agreement.

1. The Materials on the Site are the sole property of Ingersoll-Rand. I will use the Materials solely for the Purpose. I will not resell or redistribute the Materials, electronically or otherwise.
2. Ingersoll-Rand grants me the right to download, copy, and reproduce the Materials, but only for the Purpose. The Agreement does not grant me the right to provide copies of any of the Materials (in whole or in part) to any other person, nor to assign or sublicense the rights granted in this Agreement to any other person.
3. I will not alter, distort, or otherwise modify any of the Materials and will comply in all respects with all requirements and guidelines for the use of the Materials published on the Site by Ingersoll-Rand.
4. Ingersoll-Rand may revoke my permission to use any or all of the Materials at any time should it find, in its sole determination, that I am in violation of this Agreement or any of its guidelines or requirements for the use of the Materials.
5. At any time if requested by Ingersoll-Rand or any of its subsidiaries or affiliates, I will immediately stop or modify, as requested, a particular use of any of the Materials.
6. I will always use the correct trademark or service mark with the product or service to which the mark relates.
7. I represent and warrant that I am entering the Site for a legitimate purpose; that I am the person to whom this password has been assigned; and that I will abide by all of the terms and conditions of this Agreement.
8. I further represent and warrant that I am not a competitor of Ingersoll-Rand or any of its affiliates or subsidiaries and that I do not intend to and will not use any of the Materials for an improper or unauthorized purpose, including but not limited to, use in competitive advertising to disparage Ingersoll-Rand or any of its affiliates or subsidiaries or any of their products or services; use in competitive advertising in general; use as wallpaper, hidden text or metatags, white text, hyperlinks or links, or otherwise on my Internet website or any Internet website; or use for the purpose of preparing works derivative thereof or therefrom.
9. By clicking on the box below labeled “I accept the terms of this agreement,” I agree to these terms and conditions. If I do not click the box below labeled “I accept the terms of this agreement,” access to the Site and permission to use the Materials is denied.
